Welcome to WhoDat! These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and WhoDat Ventures, Inc. ("WhoDat," "we," "us," or "our"). These Terms govern your use of our mobile application (the "App"), website, and related services (collectively, the "Services"). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Description of the Services

WhoDat utilizes artificial intelligence to help users identify public figures—such as musicians, actors, creators, and athletes—using submitted photos, texts, or descriptions. Users may view curated profiles, discover upcoming events, subscribe to receive updates via SMS or email, and interact with third-party social media and ticketing platforms. Identifications, imagery, and search results are generated programmatically and may not always be accurate, complete, or up-to-date.

2. Acceptance of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Services.

3. Eligibility

You must be at least 13 years old to use the Services. If you are strictly between the ages of 13 and 18, you must have the permission of your parent or legal guardian to use the Services. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.

4. Artificial Intelligence & Facial Recognition

The Services employ advanced artificial intelligence algorithms, including facial recognition technologies, to generate search results. By uploading a photo or submitting a query, you acknowledge and agree that:

• Informational Purposes Only: All identifications are provided for entertainment and informational purposes only. We do not guarantee the accuracy, reliability, or correctness of any AI-generated result.
• Consent: You represent and warrant that you have obtained all necessary consents, permissions, and rights to upload photos of any individuals, and that your use of the Services does not violate the privacy rights, publicity rights, or intellectual property rights of any third party.

5. Event Information & Ticketing Partners

WhoDat aggregates and displays event information (e.g., concert dates, venues) gathered from third-party partners such as SeatGeek.

• No Liability for Events: We do not guarantee the availability, accuracy, or timing of any event. Events are subject to cancellation, rescheduling, and changes by the event organizers without notice.
• Third-Party Purchases: Any purchase of tickets or merchandise made by navigating away from the App via a third-party link (e.g., SeatGeek) is solely between you and the third party. WhoDat is not a party to those transactions and disclaims any and all liability for refunds, fraudulent tickets, or customer service issues arising from such purchases.

6. SMS/Text Messaging and Telemarketing Consent (TCPA)

If you choose to subscribe to updates regarding a specific public figure by providing your phone number, you expressly consent to receive recurring automated promotional and personalized marketing text messages (e.g., event alerts, profile updates) from WhoDat at the cell number used when signing up. Consent is not a condition of any purchase. Message and data rates may apply. You may opt out at any time by replying "STOP" to any text message you receive from us.

7. User-Provided Content

By submitting content to WhoDat—including photos, search queries, feedback, or comments—you grant us a perpetual, non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, reproduce, distribute, and create derivative works from your content for the purpose of operating, improving, analyzing, and promoting the Services. You retain all of your ownership rights in your content.

8. Third-Party Integrations and Content

Our Services heavily rely on data from third-party platforms, APIs, and databases (including but not limited to The Movie Database (TMDB), Wikipedia/Wikimedia, Spotify, Instagram, Facebook, and Google).

• We are not responsible for the accuracy, completeness, or availability of third-party data.
• Your use of third-party integrations may be subject to their respective terms of service and privacy policies. WhoDat disclaims any liability for your interactions with or reliance upon third-party platforms.

9. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Uploading photos of private individuals for the purpose of harassment, stalking, or malicious doxxing.
• Submitting content that infringes upon the intellectual property, privacy, or publicity rights of any person or entity.
• Attempting to hack, disrupt, reverse engineer, or scrape data from the Services or our underlying APIs.
• Impersonating another individual or falsely misrepresenting your affiliation with a public figure.
• Using the Services for any unlawful, fraudulent, or malicious purpose.

10. Premium Services & Subscriptions

WhoDat may offer premium features or subscriptions. If you elect to purchase a subscription:

• Payments will be charged to your relevant app store account (e.g., Apple App Store or Google Play) at confirmation of purchase.
• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
• You may manage your subscription and turn off auto-renewal by going to your Account Settings after purchase. WhoDat does not issue refunds for unused periods of a subscription.

11. Intellectual Property

Excluding user-submitted content and third-party data, all original content, features, and functionality of the Services—including the WhoDat brand, logos, algorithms, and software—are the exclusive property of WhoDat Ventures, Inc. and its licensors. You may not reproduce, distribute, or create derivative works from our intellectual property without express written consent.

12. DMCA Copyright Policy

WhoDat respects the intellectual property rights of others. If you believe that any content on the App infringes your copyright, please notify us by emailing support@whodat.app with all required details under the Digital Millennium Copyright Act (17 U.S.C. §512). We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. DMCA.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WHODAT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE GUARANTEE THE ACCURACY OF ANY AI-GENERATED IDENTIFICATION, EVENT LISTING, OR PROFILE BIOGRAPHY.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WHODAT VENTURES, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL WHODAT'S AGGREGATE LIABILITY EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50.00) OR THE AMOUNT YOU PAID WHODAT IN THE PAST SIX MONTHS.

15. Indemnification

You agree to defend, indemnify, and hold harmless WhoDat, its affiliates, and their respective personnel from any claims, liabilities, damages, judgements, awards, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, or your infringement of any third-party right, including any intellectual property right or privacy right.

16. Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be determined by binding arbitration in Delaware. You and WhoDat agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Except for matters subject to arbitration, any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Material updates will be communicated through the App or via email. Your continued use of the Services after changes become effective constitutes your acknowledgment and acceptance of the revised Terms.
