Terms of Service

Welcome to WhoDat! These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and WhoDat Ventures, Inc. ("WhoDat," "we," "us," or "our"). These Terms govern your use of our mobile application (the "App") and related services (the "Services"). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Description of the Services

WhoDat allows users to identify public figures using submitted photos, names, or descriptions. Users may view curated profiles, subscribe to receive updates related to public figures, and create or claim public figure profiles. WhoDat also provides custom URL shortlinks ("Handles") to profiles. Identifications and search results are informational only and may not always be accurate or up-to-date.

2. Acceptance of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not access or use the Services.

3. Eligibility

You must be at least 13 years old to use the Services. By accessing or using the Services, you represent that you meet this eligibility requirement.

4. Public Figure Content and Accuracy

Profiles, identifications, and other public figure information presented on the App may be based on publicly available data, user submissions, and third-party sources (e.g., AI recognition, search engines). We do not guarantee the accuracy, completeness, or reliability of any content. You agree to independently verify any information before relying upon it.

5. User-Provided Content

By submitting content to WhoDat, including photos, descriptions, or comments, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, display, distribute, and create derivative works from your content for the purpose of providing and promoting the Services. You represent that you have the necessary rights to submit such content and that it does not violate any laws or third-party rights.

6. Handles (Custom URL Shortlinks)

When you claim or create a public profile, you may request a Handle. Misuse of Handles, including impersonation, hoarding, or resale, is prohibited. We reserve the right to revoke or modify Handles at any time, at our sole discretion, without notice.

7. Third-Party Services

WhoDat utilizes third-party services, including but not limited to image recognition APIs (such as AWS Rekognition) and search providers (such as Google Search), to perform certain features of the Services. We are not responsible for the practices or content of these third parties.

8. Marketing Communications

By subscribing to a public figure profile, you consent to receiving marketing communications related to that profile. You may opt out at any time via unsubscribe links or through your account settings.

9. Prohibited Activities

• Submitting content that infringes intellectual property or privacy rights.
• Engaging in harassment, hate speech, or abusive behavior.
• Impersonating another individual or misrepresenting your affiliation.
• Attempting to hack, disrupt, or reverse engineer the Services.
• Using the Services for any unlawful or fraudulent purpose.

10. Intellectual Property

All intellectual property rights in the Services, including trademarks, copyrights, and trade secrets, are owned by WhoDat or its licensors. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without prior written consent.

11. DMCA Copyright Policy

If you believe that any content on the App infringes your copyright, please notify us by emailing support@whodat.app with all required details under the Digital Millennium Copyright Act (DMCA).

12. Disclaimers

The Services are provided "as is" and "as available" without any warranties, express or implied. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any identification results will be accurate or complete.

13. Limitation of Liability

To the fullest extent permitted by law, WhoDat shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or relating to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to defend, indemnify, and hold harmless WhoDat, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your violation of these Terms or your misuse of the Services.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Updates will be posted on the App, and your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

17. Termination

We may suspend or terminate your account or access to the Services at any time, without notice or liability, for any reason. Upon termination, any provisions that by their nature should survive termination shall continue in effect.
